Sandlot Sports WAIVER AND RELEASE OF LIABILITY

As a condition of my participation, in any Sandlot Sports LLC (hereafter "Sandlot Sports") program, event, or activity (collectively "Programs"), I understand, acknowledge, and agree that:

1) I understand the physical requirements of the Program in which I will be participating, and certify that I am physically fit to and able to participate in the Program, and have not been advised otherwise by a qualified medical professional.

2) I agree to comply with any and all rules, regulations, terms and conditions for the use of the facilities, premises, equipment, and for participation in the Program, including but not limited to the rules of any sport that I may participate in. I fully understand and acknowledge that failure to comply with this Waiver and Release of Liability grants the right to Sandlot Sports to deny my access, service, and/or participation in any Sandlot Sports Program.

3) I agree to inspect the equipment, facilities, and premises to be used in any Sandlot Sports Program in which I wish to participate prior to participation. If I believe that equipment, facilities, or premises are unsafe, I will inform Sandlot Sports officials, team captains, referees, or facilities owners of the issue and refuse to participate in such Program until the issue is corrected, and I believe participating in the Program is safe.

4) I acknowledge and fully understand that as a participant, I will be in engaging in activities that involve risk of serious injury, including permanent disability and death, property loss, and severe economic and social losses. These risks include, but are not limited to, those caused by: (a) the actions, inactions or negligence of Sandlot Sports, participants, volunteers, spectators, coaches, event officials, referees, organizers, and facility staff; (b) conditions of the premises, facilities, or equipment used; (c) rules of play; (d) temperature; (e) weather; (f) condition, skill, and ability of participants, and their failure to abide by the rules, regulations, terms, and conditions for participation in the Program and, (g) vehicular traffic. I further acknowledge and fully understand that there may be other risks that are not known or foreseeable at this time. Sandlot Sports cannot control these risks, nor has Sandlot Sports judged my level of skill, ability, or condition prior to my participation and does not guarantee my personal health or safety during my participation in the Program. I knowingly and voluntarily assume all such risks both known and unknown, anticipated and unanticipated, foreseeable and unforeseeable, even if arising from the negligence of Sandlot Sports or others, and I assume full responsibility and liability for my participation.

5) I agree, on behalf of myself, my heirs, executors, assigns, personal representatives, next of kin, and beneficiaries hereby to release, indemnify, hold harmless, waive, discharge, defend, and agree not to sue Sandlot Sports, its officers, officials, members, agents, and/or employees, as well as other participants, sponsoring agencies, advertisers, as well as owners, lessors, and staff of the premises and facilities used for any Program (collectively the "Releasees"), with respect to any and all claims for any injury, disability, death, damages, losses, liabilities, and/or expenses to my own or any other person's property, social standing, or person, including claims based on any Releasee's negligence or otherwise, which I may have or which may subsequently accrue to me, relating to, resulting from, or arising out of my use of, participation in, and/or association with any Sandlot Sports Program to the fullest extent permitted by law.

6) I consent to have medical treatment that may be deemed advisable in the event of injury, accident, and/or illness during any Program, and I do hereby grant authority to the staff of Sandlot Sports to render a judgment concerning medical assistance or hospital care in the event of an accident or illness that renders me unable to make such judgments myself. I release Sandlot Sports and all persons participating in any such judgments and/or medical treatments from all responsibility for any such actions.

7) I hereby grant to Sandlot Sports, its associates, the general media, and those acting with Sandlot Sports' authority, the right to photograph, videotape, or otherwise capture or collect my likeness, voice, and sounds (collectively the "Content") during my participation in any Sandlot Sports Program. I further acknowledge the Content to be works made for hire, and subsequently irrevocably assign and grant to Sandlot Sports all rights in this Content and the right to use or sublicense the Content, my name, likeness, and biography, at Sandlot Sports' discretion, in all media, and in all forms, and for all purposes, including without limitation, advertising and other promotions for Sandlot Sports, and I freely and willingly waive all rights or claims to compensation for the use of the Content.

8) I acknowledge that Sandlot Sports' relationships with its customers, facility partners, and sponsors were derived at considerable expense and effort and belong exclusively to Sandlot Sports, and I agree that for a period of two (2) years following the date of my participation in any Sandlot Sports Program, that I will not solicit, attempt to solicit, or engage any other person or entity to solicit on my own behalf or on the behalf of any other person or entity any customer client, facility partner, or sponsor of Sandlot Sports. I further agree that I will not start any comparable program in the city of New York for a period of two (2) years following my latest date of participation in any Sandlot Sports Program.

9) I hereby certify that I carry health insurance, and acknowledge that my participation in any Sandlot Sports Program is contingent upon maintaining health insurance coverage. If at any time during my participation in any Sandlot Sports Program I am no longer carrying health insurance, I will notify Sandlot Sports officials and withdraw myself from any further participation until such time as I am again covered by a health insurance policy.

10) I agree to be added to the Sandlot Sports email list and to receive periodic correspondence, the delivery of which I may terminate at any time.

11) I fully understand and acknowledge that Sandlot Sports and those acting on Sandlot Sports' authority reserve the right to refuse or cease service to me at will. Reasons for refusal or cessation of service may include, but are not limited to, any attitude, behavior, or actions during or associated with any Sandlot Sports Program that are deemed inappropriate by Sandlot Sports and/or those acting on Sandlot Sport's authority.

12) I understand that Sandlot Sports and those acting on Sandlot Sports' authority are not responsible for lost or stolen property.

13) I understand I will have to sign a waiver from Bounce! as well upon arrival as a condition of my participation.

14) I agree that this voluntary Waiver and Release of Liability shall be in full force and effect at all times during my participation in any Sandlot Sports Program, of any kind or nature, and for whatever period of time I participate in the Program, either continuously or from time to time, as the case may be, and I intend that this Waiver and Release of Liability shall be construed broadly to provide a release and waiver to the maximum extent permissible under the interpretations and governance of the laws of the State of New York.
